1. Acceptance of Terms

By accessing this website, submitting the intake questionnaire, booking a call, purchasing a digital product, or engaging HueCue Digital ("HueCue," "we," "us," "our") for services, you ("Client," "you") agree to be bound by these Terms and Conditions. If you do not agree, do not use the site or engage our services.

2. Services

HueCue Digital provides e-commerce email marketing and paid advertising services, including but not limited to:

  • Done-for-you (DFY) email marketing and Klaviyo flow management

  • Paid advertising management

  • One-time email flow setup/audit engagements

  • Paid 1:1 Klaviyo strategy/audit calls

  • Digital educational products (including the 72-Hour CRO Guide and related materials)

Specific deliverables, timelines, and scope for any engagement are defined in the applicable proposal, invoice, or service agreement provided at the start of that engagement. These Terms govern the general relationship; where a signed proposal or SOW conflicts with these Terms, the signed document controls.

3. Eligibility

Services are intended for businesses and individuals operating a legitimate e-commerce business. You must be at least 18 years old and authorized to bind your business to these Terms.

4. Payments and Billing

  • Retainer clients: Fees are billed on a recurring basis (e.g., monthly) as agreed at onboarding. Access to services is contingent on payment remaining current.

  • One-time engagements (flow setup, audits): Fees are due per the payment schedule stated at booking, typically before work begins or per milestone.

  • Digital products: Payment is due in full at time of purchase.

  • Late or failed payments may result in pause or termination of services without additional notice.

  • All fees are quoted in USD unless stated otherwise and are exclusive of any applicable taxes.

5. Refund Policy

  • Digital products (ebooks, guides, templates): All sales are final. No refunds due to the instant-access, non-returnable nature of digital goods.

  • DFY retainer and one-time services: Fees paid for work already performed or time already allocated are non-refundable. Any refund eligibility for unstarted work will be addressed on a case-by-case basis and stated in the applicable service agreement.

  • Audit/strategy calls: Non-refundable once scheduled, except in cases of no-show by HueCue.

6. No Guarantee of Results

Email marketing and paid advertising outcomes depend on factors outside HueCue's control, including but not limited to your product, market, brand reputation, historical data, ad platform policies, and consumer behavior. Any results, case studies, or performance figures referenced on this site or in marketing materials (including prior brand performance data) are illustrative of past outcomes and are not a guarantee of future results for your business. HueCue makes no warranty, express or implied, that any specific revenue, ROAS, open rate, or other metric will be achieved.

7. Client Responsibilities

To deliver services, HueCue requires timely client cooperation, including:

  • Granting necessary account access (e.g., Klaviyo, ad platforms, e-commerce platform)

  • Providing brand assets, product information, and approvals in a timely manner

  • Responding to requests for feedback within agreed timeframes

Delays caused by the Client may extend project timelines without penalty to HueCue.

8. Intellectual Property

  • Templates, frameworks, flows, copy systems, and other proprietary materials developed by HueCue remain the intellectual property of HueCue unless otherwise agreed in writing.

  • Upon full payment, Client receives a license to use deliverables created specifically for their account in their own marketing, but may not resell, redistribute, or repurpose HueCue's underlying frameworks, templates, or methodology for other businesses.

  • Digital products (ebooks, guides) are licensed for the purchaser's personal/business use only and may not be resold, shared, or redistributed.

9. Confidentiality

Each party agrees to keep confidential any non-public business, financial, or strategic information shared during the engagement, and to use it solely for purposes of the engagement.

10. Term and Termination

  • Retainer engagements continue until canceled by either party with [30] days' written notice, or per the terms in the signed service agreement.

  • HueCue reserves the right to terminate services immediately for non-payment, abusive conduct, or misuse of deliverables.

  • Upon termination, Client remains responsible for payment of all fees incurred up to the termination date.

11. Limitation of Liability

To the maximum extent permitted by law, HueCue Digital shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or lost revenue, arising from your use of our services, website, or digital products. HueCue's total liability for any claim shall not exceed the amount paid by Client to HueCue in the three (3) months preceding the claim.

12. Indemnification

You agree to indemnify and hold HueCue Digital harmless from any claims, damages, or expenses arising from your breach of these Terms, misuse of deliverables, or violation of applicable law.

13. Third-Party Platforms

Services may involve integration with third-party platforms (e.g., Klaviyo, Meta Ads, Google Ads, Systeme.io, Calendly, Cognito Forms). HueCue is not responsible for outages, policy changes, account suspensions, or data loss caused by these third-party platforms.

14. Digital Product Terms

Purchases made through the ebook/digital product funnel (including order bumps and upsells) grant a personal, non-transferable license to the content. Access is delivered electronically. HueCue is not responsible for delays caused by incorrect email addresses provided at checkout.

15. Disclaimer of Warranties

Services and digital products are provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

16. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Pitt County, North Carolina.

17. Changes to These Terms

HueCue may update these Terms at any time. Continued use of the website or services after changes are posted constitutes acceptance of the revised Terms.
